Your terms of use as an event organizer

1. Parties and acceptance

1.1 Who you are contracting with

These Organiser Terms of Service (“Terms”) form a binding agreement between you and Entryvent Tickets Selling, a Sole Establishment registered in the Emirate of Dubai, United Arab Emirates under trade licence number 1467049, with its registered office at Suite 907, Dusseldorf Business Point, Al Barsha 1, Dubai, United Arab Emirates (“Entryvent”, “we”, “us”, or “our”).

1.2 Who these Terms apply to

These Terms apply to anyone who creates an Account on Centra to publish, manage, or sell access to events. We refer to you as the “Organiser”. Your Attendees are subject to a separate Attendee Terms of Service available at entryvent.com/attendee-terms.

1.3 Acceptance

You enter into this Agreement when, during signup, you affirmatively indicate your acceptance by ticking the “I agree to the Organiser Terms” checkbox (or equivalent acceptance mechanism) presented before your Account is created. This applies whether you sign up using email and password, or by signing in with Google or Facebook. By doing so, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Community Guidelines, our Data Processing Addendum (where applicable), and any pricing terms in effect on your Account, each available at entryvent.com (the “Agreement”). The documents listed are incorporated into the Agreement by reference.

Entryvent maintains a record of your acceptance, including the version of these Terms in force at the time, the date and time of acceptance, and the IP address from which acceptance was given. This record may be relied on as evidence of your agreement to be bound.

If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation, and “you” and “your” refer to both you personally and the organisation you represent.

1.4 Documents that work alongside these Terms

The Agreement comprises the following documents, which are listed by order of precedence in Section 1.6:

  • These Organiser Terms (entryvent.com/terms)
  • Privacy Policy (entryvent.com/privacy)
  • Community Guidelines (entryvent.com/community)
  • Data Processing Addendum (entryvent.com/dpa) — applies where Entryvent processes Attendee personal data on your behalf
  • Pricing terms (entryvent.com/pricing) — current pricing for Subscriptions, PAYG tickets, onsite apps, and EPG processing fees
  • Attendee Terms (entryvent.com/attendee-terms) — governs the relationship between Entryvent and your Attendees, not part of your Agreement, but referenced for awareness
  • Any signed written agreement between you and Entryvent (where applicable)

NOTE ON PROFESSIONAL SERVICES

Services beyond the Centra software (including event organisation, DTCM permit assistance, event collaterals, and renting) are handled separately by Entryvent Event Management (Dubai trade licence 1290957) on a quote basis and are not governed by these Terms. Contact contact@entryvent.com for professional services enquiries.

1.5 Authority and capacity

To create an Account you must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater. If you create an Account on behalf of a company or other legal entity, you confirm you have authority to bind that entity to the Agreement, and “you” refers to that entity throughout these Terms.

1.6 Order of precedence

In the event of a conflict between these Terms and any other document forming part of the Agreement, the order of precedence is: (a) any signed written agreement between you and Entryvent; (b) the Data Processing Addendum (for matters concerning personal data); (c) these Terms; (d) the Privacy Policy; (e) the Community Guidelines; (f) any other document referenced in this Agreement.

2. Definitions

Term Meaning
Account A registered Organiser account on Centra, including Personal and Business accounts.
Administrator A user assigned by the Owner with broad access to manage Events, content, and other users on the Account, as configured in the Service.
Attendee Any person who registers for, purchases a ticket to, or attends an Event powered by the Service.
Centra Entryvent’s web-based event management platform, accessible at centra.entryvent.com.
Content Any text, images, video, audio, data, or other material made available through the Service.
DPA Our Data Processing Addendum, available at entryvent.com/dpa.
DTCM The Dubai Department of Tourism and Commerce Marketing.
EPG The Entryvent Payment Gateway, our default payment processing service.
Event Any event, conference, exhibition, workshop, or other gathering you create, manage, or sell tickets to through the Service.
Member A user assigned to specific Events or functions within the Account, with permissions configured by the Owner or an Administrator.
Owner The first user to create a Business account, who controls billing and account closure.
Service Centra and all related products, features, websites, mobile applications (Entryvent Registration, Entryvent Scan, Entryvent Lead, Entryvent Dash), and services provided by Entryvent Tickets Selling.
Subscription A paid subscription tier that grants access to expanded features (currently Starter, Growth, Enterprise).
TRN A Tax Registration Number issued by the UAE Federal Tax Authority.
Your Content Content you upload to, submit to, or create through the Service, including event details, branding, registration form responses, Attendee data, and communications you send through the Service.

3. Accounts

3.1 Account types

Centra offers two types of Account:

  • Personal account: for individual Organisers managing events under their own name. Suitable for small private events. Some features (team management, organiser page, TRN compliance) are not available.
  • Business account: for companies, agencies, associations, and other organisations. Includes company profile, organiser page, team management, and TRN compliance features.

You can upgrade from Personal to Business at any time from your Account settings.

3.2 Account creation

To create an Account, you must provide accurate and complete information, including your name, email address, password, and (for Business accounts) your company name. You must verify your email address before your Account is fully active.

3.3 Internal users (roles within a Business account)

Business accounts support three internal user roles:

  • Owner: full control over the Account, including billing, account closure, and adding or removing other users
  • Administrator: full access to all Service features other than billing and account closure
  • Member: access limited to the Events and permissions assigned to them

The Owner is responsible for the actions of all internal users on the Account. Each user must comply with these Terms; the Owner is liable for ensuring compliance.

3.4 External users

In addition to internal users, the Service allows you to grant access to external parties working on your Event. External users create their own Account through the standard Centra signup flow and are bound by these Terms in the same way as internal users. External user types include:

  • Exhibitor Manager: a representative of an exhibiting company at your Event, granted access to manage their exhibitor presence (booth setup, marketing, lead retrieval, scan access). The Exhibitor Manager may, where the Service permits, assign their own users to perform specific functions (such as onsite scanning at their booth).
  • Stakeholder: a third party with a visibility or oversight role at your Event (such as a sponsor representative, partner, or board member of an association), granted access to view event progress and selected reports.
  • Onsite staff: temporary or contracted personnel handling registration, check-in, and scanning operations on the day of your Event. Onsite staff act on your instructions and have no independent purpose for accessing Attendee data.

Where you invite an external user, you remain responsible for: (a) ensuring they have a legitimate purpose for accessing your Account; (b) configuring their permissions appropriately; (c) ensuring they comply with applicable law (including data protection law) when handling Attendee data; (d) revoking their access promptly when no longer needed.

Where the Service permits an external user (such as an Exhibitor Manager) to assign their own users, that external user is responsible for: (a) the actions of any users they assign within their delegated scope; (b) ensuring those users comply with applicable law; (c) revoking their assigned users’ access when no longer needed.

Data role implications for external users are addressed in Section 19.6.

3.5 Account security

You are responsible for maintaining the confidentiality of your Account credentials and for all activity under your Account. You must:

  • Use a strong password and keep it confidential
  • Enable multi-factor authentication when made available by Entryvent, and where required by us for Accounts handling sensitive operations
  • Notify us within 24 hours of becoming aware of any unauthorised access to your Account by emailing support@entryvent.com

You are responsible for losses caused by your failure to maintain reasonable Account security. Entryvent remains responsible for losses caused by Entryvent’s failure to implement reasonable security measures.

3.6 Authority for Business accounts

If you create a Business account, you confirm that you are authorised to bind your organisation to these Terms. The Account belongs to the organisation, not to the individual creating it. If the Owner leaves the organisation, ownership of the Account remains with the organisation, and access can be transferred by following our Account ownership transfer process.

4. Pricing, Subscription, and fees

4.1 How Centra is priced

Centra is free to try. The free tier includes a limited number of tickets to let you explore the platform, run small or test events, and see whether Centra suits your needs.

When you need more capacity beyond the free tier, you pay for two things separately:

  • Tickets — the capacity to sell or register Attendees through Centra (Section 4.2)
  • Onsite apps — Entryvent’s onsite management apps used at the venue on the day of your Event (Section 4.3)

Each is charged separately. Current rates and tiers are at entryvent.com/pricing and are incorporated into these Terms by reference.

4.2 Ticket purchase models

Tickets can be purchased in either of two models. Each ticket sold or registered through the Service consumes one ticket allocation, regardless of whether the ticket is paid or free.

  • Pay-As-You-Go (PAYG) — purchase tickets as you need them, with no yearly commitment. PAYG pricing is volume-based at Account level: as your cumulative ticket sales across all your Events reach defined thresholds, your per-ticket rate reduces and remains at the new rate for all subsequent tickets. PAYG tickets do not expire.
  • Subscription — a yearly paid plan that includes a quantity of tickets at the Subscription rate, plus a fixed feature set per the tier you choose (currently Starter, Growth, and Enterprise). Subscription tickets expire at the end of the subscription period in which they are issued and do not roll over to the next period. Unused Subscription tickets are not refundable. The Subscription rate is generally lower than PAYG entry pricing, and Subscription tiers also include progressively higher discounts on onsite app pricing (see Section 4.3).

Both models can be combined: you can hold a Subscription and use additional tickets on PAYG terms when you exceed your Subscription’s included quantity.

Tickets are non-refundable, except in the limited circumstances set out in Section 9.

4.3 Onsite apps

Centra includes five onsite apps:

  • EV Dash — included with Centra at no additional charge
  • EV Registration, EV Scan, EV Lead, EV Events — paid services billed separately from tickets

Onsite app pricing is based on the capacity of the Event for which the app is activated. The applicable rate depends on whether you are using PAYG or Subscription:

  • PAYG users pay the standard capacity-based rate. There is no volume discount on PAYG onsite app purchases regardless of how often you use the platform.
  • Subscription users receive a discount on the standard capacity-based rate. The discount level depends on your Subscription tier.

4.4 Billing

All payments to Entryvent are made online and in advance, whether for PAYG tickets, Subscriptions, or onsite apps. Access to paid features is enabled once payment is received.

  • Subscriptions are billed in advance on an annual basis unless otherwise agreed in writing
  • PAYG tickets and onsite apps are paid in advance per purchase or activation
  • Prices are displayed in AED on the Centra platform and on entryvent.com/pricing for reference. Payment is processed and charged in USD. The AED-USD conversion is applied at the rate set by your card issuer or bank at the time of payment
  • Your card issuer or bank may apply a foreign currency transaction fee in addition to the amount charged. Any such fee is determined by your card issuer and is your responsibility
  • All prices are exclusive of applicable taxes
  • VAT is added where required by UAE Federal Tax Authority regulations
  • Subscriptions auto-renew at the end of each term unless cancelled by the Organiser at least 30 days before renewal

4.5 Processing fees

4.5.1 EPG processing fee

Where you use the Entryvent Payment Gateway (EPG), a processing fee of 4.27% applies to each transaction. The fee is collected at checkout and is retained by Entryvent. You may configure within Centra whether the fee is shouldered by the Attendee (added to the ticket price) or absorbed by you (deducted from your payout). This configuration is set at Account level and applies to all Events run on your Account. Changes to the configuration apply to tickets sold after the change; tickets sold under a previous configuration retain their original pricing.

4.5.2 Own-gateway processing fee

Where you use your own payment gateway (such as Stripe), Centra allows you to configure a processing fee percentage to recover the cost of your own gateway processing. This fee is collected from Attendees at checkout in addition to the ticket price and is paid through to your own gateway. This configuration is set at Account level and applies to all Events run on your Account. Changes to the configuration apply to tickets sold after the change; tickets sold under a previous configuration retain their original pricing.

The configured percentage must not exceed the actual processing cost charged by your gateway provider. You may not use the processing fee field to apply a markup, surcharge, or hidden ticket price increase. Misuse of this field may result in suspension under Section 9 and may breach UAE Federal Law No. 15 of 2020 on Consumer Protection.

4.6 Tax responsibility and VAT invoicing

You are responsible for all taxes, duties, and government-levied fees relating to your Events and ticket sales, including but not limited to value-added tax, withholding taxes, and DTCM fees. As the seller of the ticket (see Section 8.2), you are responsible for tax compliance on ticket sales to your Attendees in your local jurisdiction.

Invoices generated by Centra:

  • For ticket sales to Attendees — Centra automatically issues an invoice to each Attendee at the point of purchase, using your registered tax details and tax configuration, and bearing your name as the seller. The invoice is generated in accordance with the tax rules of your local authority, based on the configuration you set in Centra.
  • For your purchases from Entryvent — Entryvent issues an FTA-compliant tax invoice to you for every Subscription, PAYG ticket purchase, onsite app activation, and processing fee charge. Each invoice contains the fields required under UAE Federal Decree-Law No. 8 of 2017 on VAT, including Entryvent’s TRN, your TRN where you have provided one, sequential invoice number, the date of supply, a description of the goods or services, the amount payable in AED, and the rate and amount of VAT. Tax invoices are delivered to the billing email address on your Account at the time of purchase and are also available for download from the Shop section of your Account at any time.

Centra’s invoicing is built to international standards and supports configuration for the requirements of multiple tax jurisdictions. You are responsible for selecting and applying the correct tax setup for your jurisdiction.

Your responsibilities:

  • Determine the tax rules that apply to your ticket sales in your local jurisdiction
  • Ensure your tax registration number, registered business name, and tax address are accurate, current, and correctly entered in your Account before you sell tickets
  • Configure your tax settings (rates, exemptions, place of supply, mandatory invoice fields) correctly in Centra to meet your local authority’s requirements
  • Lodge your own tax returns and remit collected tax to your local authority on your own schedule

Entryvent generates invoices using the inputs and configuration you provide. Entryvent is not your tax adviser and is not responsible for assessing whether your configuration is correct for your jurisdiction. If your tax setup is incorrect or out of date, the resulting invoices will reflect that, and any penalty, correction, or compliance action by your local authority is your responsibility.

4.7 Changes to pricing

We may change pricing for tickets, Subscriptions, and onsite apps with at least 30 days’ written notice before the change takes effect. If you do not accept the new pricing, you may terminate the affected Subscription before the new pricing applies. Changes do not affect Subscriptions already paid for the current term.

5. Acceptable use and restrictions

5.1 General rules

You agree to use the Service only for lawful purposes and in compliance with these Terms, our Community Guidelines, and applicable law. You will not:

  • Transfer, resell, sub-licence, or otherwise make the Service available to others outside the scope of your Account
  • Pretend to be Entryvent or impersonate another organiser, company, or public figure
  • Use third-party trademarks, logos, or branding without permission
  • Reverse engineer, decompile, disassemble, or attempt to extract source code from the Service
  • Use the Service to develop a directly competing product, or systematically extract data from the Service for the purpose of selling such data to a competitor
  • Remove or alter Entryvent’s copyright notices, trademark symbols, ownership statements, or other proprietary markings within the Service
  • Use the Service to send unsolicited communications, malware, viruses, or any code designed to disrupt the Service or other users’ systems
  • Use Centra to send promotional or marketing emails to people who have not registered for your Event. Centra is an event registration and management platform, not a marketing email tool. Communications you send through Centra to your registered Attendees (such as confirmations, reminders, and Event updates) must be transactional and operational, not marketing
  • Bypass rate limits, access controls, paywalls, or security mechanisms
  • Use automated tools (bots, scrapers, crawlers) to access the Service except through APIs we expressly authorise
  • Probe, scan, or test the vulnerability of the Service except through a responsible disclosure programme we expressly publish
  • Transmit false, misleading, or deceptive information for financial gain or to harm others
  • Violate any applicable law, regulation, or third-party right

5.2 Prohibited Content

You agree not to upload, post, or transmit any Content that:

  • Is unlawful, harmful, threatening, abusive, defamatory, or harassing
  • Is harmful to minors in any way, or constitutes child sexual abuse material
  • Is sexually explicit, pornographic, or where the primary purpose is sexual arousal
  • Promotes hatred, violence, or discrimination based on race, ethnicity, nationality, religion, gender, gender identity, sexual orientation, age, disability, pregnancy, or any other protected characteristic
  • Promotes terrorism, extremism, or violent ideology
  • Promotes human trafficking, forced labour, slavery, or exploitation
  • Is derogatory towards any religion, government, or institution recognised in the UAE
  • Promotes self-harm, suicide, or eating disorders
  • Promotes unproven medical claims, miracle cures, or prohibited pharmaceutical advertising
  • Promotes investment scams, multi-level marketing schemes, or pyramid schemes
  • Promotes illegal drugs, weapons, or other prohibited goods
  • Constitutes doxxing, the sharing of private personal information of any person without consent
  • Constitutes deepfake or synthetic media that misrepresents real persons without consent
  • Infringes intellectual property rights of any party
  • Contains malicious code, viruses, or spyware

5.3 Suspension of Content and event visibility

Where Entryvent identifies Content that may violate these Terms, our Community Guidelines, or applicable law, our default approach is collaborative:

  • We notify you of the issue
  • We unpublish the affected Event so Attendees can no longer view it or purchase tickets, while preserving your data and configuration
  • We give you the opportunity to adjust the Content to address the issue
  • Once you confirm the issue has been resolved, we re-publish the Event

We will use reasonable efforts to respond promptly to your adjustments and to keep the unpublished period as short as possible.

However, in cases where the violation requires immediate action to protect Attendees, third parties, or Entryvent, including:

  • Content that is illegal under UAE or other applicable law (such as child sexual abuse material, terrorism, or content prohibited under UAE Federal Decree-Law No. 14 of 2014 on Combating Information Technology Crimes)
  • Content creating imminent risk of physical, financial, or reputational harm
  • A court order, regulatory directive, or credible takedown notice from a rights-holder
  • Repeated violations after prior unpublish-and-adjust cycles

We may suspend, remove, or terminate access to Content without prior notice and provide notice promptly afterwards.

5.4 Reporting violations

If you become aware of a violation of these Terms or our Community Guidelines by another user, please report it to support@entryvent.com. Our reporting process is described in our Community Guidelines.

6. Your Content

6.1 Your Content remains yours

You retain all ownership rights in Your Content. Entryvent does not claim ownership of any Content you upload to the Service.

6.2 Licence to operate the Service

You grant Entryvent a non-exclusive, worldwide, royalty-free licence to host, store, display, transmit, and reproduce Your Content solely as necessary to provide the Service to you and your Attendees, for the duration of your Account and any necessary period afterwards for backup, audit, and legal compliance.

6.3 Marketing use (with your consent)

With your prior consent, Entryvent may feature your event name, company name, and logo on the Entryvent website, in marketing materials, and on social media to promote the Service and your Event. You may withdraw this consent at any time by contacting contact@entryvent.com, and Entryvent will cease such use within a reasonable time, except for archived copies of materials already published.

6.4 Termination of licence

Upon closure of your Account, the licence in Section 6.2 terminates, except for:

  • Archived copies retained for legal, audit, or compliance reasons
  • Content already incorporated into materials issued to Attendees (such as tickets and confirmation emails) before closure
  • Anonymised data that no longer identifies you

6.5 Your warranties about Your Content

You warrant that:

  • You own or have the right to use Your Content
  • Your Content does not infringe the intellectual property, privacy, or other rights of any third party
  • Your Content complies with applicable law
  • Your Content does not contain malicious code

6.6 Attendee data within Your Content

Personal data of Attendees that you collect through the Service forms part of Your Content. Entryvent acts as a data processor for this data, and the relationship is governed by our DPA, available at entryvent.com/dpa.

6.7 Video, music, and royalty-bearing content

The Service allows you to upload, embed, or stream video, music, and other media as part of Your Content. You are responsible for ensuring that you hold all rights, licences, releases, and permissions required to use such content on the Service and at your Event, including:

  • Performance rights (such as those administered by performing rights organisations) for any music or musical performance
  • Synchronisation and master recording rights for any music used in video
  • Public performance and streaming rights for any video shown to your Attendees
  • Likeness rights for any individual appearing or speaking in the content
  • Footage and graphics rights for any video, animation, or other visual material

You are responsible for paying any royalties, fees, or licence costs owed to rights-holders, performing rights organisations, or any other party in respect of such content. Entryvent does not pay royalties on your behalf and does not act as your agent in any rights clearance process.

If Entryvent receives a credible complaint or takedown notice from a rights-holder regarding content you have uploaded or embedded, Entryvent may suspend visibility of, or remove, that content from the Service, with notice to you. You agree to cooperate with any such request and to indemnify Entryvent against any claim, loss, or cost arising from your use of content for which you do not hold the necessary rights.

7. Entryvent intellectual property

7.1 Our IP

Entryvent owns all intellectual property rights in the Service, including all software, code, design, text, graphics, logos, trademarks, and Content created by Entryvent. “Entryvent”, “Centra”, and our logos are trademarks of Entryvent Tickets Selling.

7.2 Limited licence to use the Service

Subject to your compliance with these Terms, Entryvent grants you a limited, non-exclusive, non-transferable, non-sub-licensable, revocable licence to access and use the Service for your internal business purposes during the term of your Account.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Entryvent a perpetual, royalty-free, irrevocable licence to use that feedback to improve the Service, with no obligation to you.

8. Organizer’s Obligations

8.1 Accuracy of information

You are responsible for ensuring all information you provide to Entryvent and to your Attendees is accurate, current, and complete. This includes:

  • Account information (name, email, phone, company details)
  • Event information (name, date, location, description, ticket types and prices)
  • Refund and cancellation policy for each Event (see Section 10)
  • TRN, billing address, and payout details
  • Any changes to ticket terms before tickets are sold

You must promptly update your Account and Event information if any of it changes.

8.2 You are the seller of the ticket

IMPORTANT: ENTRYVENT IS A PLATFORM, NOT THE SELLER

Entryvent provides the technology to manage your Events, sell tickets, register Attendees, and process payments. Entryvent is not a party to the contract between you and your Attendees. The contract for ticket sale is between you (the Organiser) and the Attendee. You alone are responsible for delivering your Event, honouring your refund and cancellation policy, complying with consumer protection law, and resolving any dispute with Attendees.

8.3 Event delivery

You are solely responsible for:

  • Producing, delivering, and paying for your Event
  • Securing the venue, equipment, staff, and any third-party services your Event requires
  • Obtaining all necessary permits, licences, and approvals (including DTCM permits for Dubai events; see Section 13)
  • Compliance with all applicable laws, including consumer protection, health and safety, accessibility, and venue regulations
  • Compliance with all applicable taxes, duties, and government fees
  • Insurance for your Event, including public liability insurance where appropriate

8.4 Communication with Attendees

You are responsible for all communications with your Attendees, before, during, and after your Event. This includes:

  • Sending confirmation, reminder, and update emails through Centra email or by other means you choose
  • Notifying Attendees promptly of any change, postponement, or cancellation
  • Responding to Attendee enquiries and complaints
  • Handling refund requests in accordance with your published refund policy

8.5 Compliance with consumer protection law

You agree to comply with UAE Federal Law No. 15 of 2020 on Consumer Protection and any other consumer protection laws applicable to your Attendees. You acknowledge that as the seller of the ticket, you (not Entryvent) are responsible for consumer protection obligations including disclosure, refunds, and dispute resolution.

You agree to publish your own terms applicable to your Attendees, including your refund policy, code of conduct, governing law, and forum for resolving disputes about your Event. The Attendee Terms (Section 17.5) confirm that Event-related disputes are governed by your terms, not by Entryvent’s. Where your terms do not specify governing law or forum, you accept the risk that mandatory consumer protection law in the Attendee’s country of residence or the country where the Event takes place may apply by default.

8.6 Data controller status for Attendee data

With respect to Attendee personal data collected through the Service, you are the data controller and Entryvent acts as your data processor. The relationship is governed by our DPA, available at entryvent.com/dpa. You are responsible for:

  • Determining the personal data you collect from Attendees
  • Establishing the lawful basis for collection and processing
  • Providing your own privacy notice to Attendees
  • Responding to data subject rights requests from Attendees
  • Notifying Entryvent and the relevant supervisory authority of any personal data breach affecting Attendee data, in accordance with UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection (“UAE PDPL”) and other applicable law

9. Suspension and termination

9.1 Termination by you

You may close your Account at any time by following the closure process in your Account settings or by emailing support@entryvent.com. Closure takes effect at the end of your current billing period. Fees already paid (including unused Subscription term, unused PAYG tickets, and prepaid onsite app activations) are non-refundable, except in the limited circumstances set out in Section 9.5.

9.2 Suspension or termination by Entryvent (with cure period)

If we reasonably believe you have materially breached these Terms, we will provide written notice describing the breach and a reasonable opportunity to cure (typically 7 days, longer for complex breaches). If you cure the breach within the period, the matter is closed. If you do not cure, we may suspend or terminate your Account. In such cases, fees already paid (including unused Subscription term, unused PAYG tickets, and prepaid onsite app activations) are non-refundable.

9.3 Immediate suspension or termination by Entryvent (without cure period)

We may suspend or terminate your Account immediately and without prior notice in cases of:

  • Suspected fraud, money laundering, or financial crime
  • Violation of applicable law
  • Content that creates an imminent risk of harm to Attendees or third parties
  • A court order or regulatory directive
  • Material breach of Section 5 (Acceptable Use) where the breach is illegal or creates legal exposure for Entryvent
  • Misuse of the own-gateway processing fee field under Section 4.5.2

In all cases of termination under this Section 9.3, fees already paid (including unused Subscription term, unused PAYG tickets, and prepaid onsite app activations) are non-refundable.

9.4 Effect of termination

On termination of your Account:

  • Your access to the Service ends
  • Your Events become unavailable in Centra. Ticket validation, onsite management apps, Attendee communication through Centra, and any other Service-dependent functionality will stop working. You are solely responsible for the operational consequences of this, including communicating with Attendees, processing refunds, and arranging alternative arrangements for any Event that was scheduled to run after termination.
  • You remain solely responsible for refunding Attendees in accordance with your refund policy and applicable law. Entryvent does not refund Attendees on your behalf and is not liable for any refund, claim, or loss arising from your Event being unable to run after termination, regardless of whether termination was initiated by you or by Entryvent.
  • You can request export of Your Content within 30 days of termination, in accordance with our DPA
  • Entryvent will retain Your Content for the period set out in our Privacy Policy and DPA, then delete or anonymise it
  • Provisions of these Terms that by their nature survive termination (including Sections 6, 7, 14, 15, 16, 18, 19) continue to apply

Entryvent’s liability for any consequence of termination, including for inability to run scheduled Events, is limited as set out in Section 15.

9.5 Refund of Entryvent fees

Fees paid to Entryvent (including Subscription fees, PAYG ticket purchases, and onsite app activations) are non-refundable, except in the following circumstances:

  • Entryvent terminates your Account without material breach by you
  • The Service is unavailable for more than 72 consecutive hours and you elect to terminate
  • Entryvent makes a material adverse change to the Service and you terminate before the change takes effect

In such cases, unused Subscription term and unused PAYG tickets will be refunded pro rata. Onsite app activations are refundable only where the Event has not yet taken place.

9.6 Refund of Attendee tickets

Refunds of Attendee tickets are not handled by Entryvent. See Section 10.

10. Refunds, cancellations, and Attendee disputes

CRITICAL CLARIFICATION ON ENTRYVENT’S ROLE

Entryvent is a platform that provides the technology for you to sell tickets and manage your Events. Entryvent is not the seller of the ticket. The contract for ticket sale is between you and the Attendee. Entryvent does not own the Event, does not control the refund policy, and is not party to any refund or dispute between you and your Attendees.

10.1 Your refund policy

You set the refund policy for each of your Events. You agree to:

  • Publish a clear refund policy on the Event page before tickets go on sale
  • Honour the refund policy you publish
  • Comply with applicable consumer protection law, including any minimum refund rights for Attendees under UAE Federal Law No. 15 of 2020 on Consumer Protection
  • Update your refund policy only with effect for tickets sold after the update; tickets already sold remain subject to the policy in force at time of purchase

10.2 Cancellation or postponement of your Event

If you cancel or postpone your Event:

  • You are solely responsible for refunding Attendees in accordance with your refund policy and applicable law
  • You must notify Attendees promptly of the cancellation or postponement
  • Entryvent will, on your request and within reason, suspend new ticket sales for the cancelled or postponed Event and provide you with Attendee contact details for refund processing
  • Entryvent does not refund Attendees and does not hold Event proceeds long-term

10.3 Where you use EPG

If you collect payments through EPG, Entryvent processes the transactions on your behalf and pays Event proceeds to you in accordance with Section 11.

Refunds to Attendees must be processed by you directly, by bank transfer or other means agreed with the Attendee. Entryvent does not issue refunds to Attendees on your behalf, regardless of whether the relevant payout to you has already been made.

10.4 Where you use a third-party gateway

If you collect payments through a third-party gateway (such as Stripe), funds are paid directly to you through that gateway. Entryvent has no role in the payment flow or any refund.

10.5 Attendee disputes raised with Entryvent

Where an Attendee contacts Entryvent directly with a refund request or dispute regarding your Event:

  • Entryvent will direct the Attendee to contact you for resolution
  • Entryvent will not investigate, mediate, or otherwise act as a party to the dispute
  • Entryvent may share the Attendee’s enquiry with you so you can respond

If the Attendee files a chargeback with their bank or card issuer, the chargeback handling process in Section 11.4 applies.

10.6 Indemnification for Attendee disputes

You agree to indemnify Entryvent for any claim, demand, action, or proceeding brought by an Attendee or third party arising from or relating to:

  • Cancellation, postponement, or modification of your Event
  • Refund requests for tickets to your Event
  • The conduct or content of your Event
  • Your failure to honour your refund policy or to comply with consumer protection law

This indemnity is in addition to the general indemnification in Section 16.

10.7 Group registration

Where you enable group registration on your Event, one Attendee (the “buyer”) may register and pay for multiple Attendees in a single transaction. The buyer enters each Attendee’s details at the point of purchase and selects how Tickets are delivered (individually to each named Attendee, or centrally to the buyer for distribution).

For group registrations, you agree that:

  • Refund and modification requests come from the buyer, not from the named Attendees individually, in accordance with the Attendee Terms (Section 6.5). You may, at your discretion, work with a named Attendee directly in some cases
  • You communicate Event-related information through whichever channel the buyer selected (individual or centralised). Where centralised, the buyer is responsible for forwarding communications to the named Attendees in their group
  • You retain controller responsibility for all Attendee personal data collected through the group registration flow, including data the buyer provides on others’ behalf
  • Where you receive an apparent group-registration data subject rights request from a named Attendee (rather than the buyer), you respond to that named Attendee in accordance with applicable data protection law, even where refund and modification routing differs

11. Payments

11.1 Payment options

You can collect payment from Attendees using:

  • EPG (the Entryvent Payment Gateway), our default option
  • A third-party gateway (such as Stripe), where you have your own merchant account

11.2 EPG: how payments are processed

Where you use EPG, Entryvent acts as your limited payments agent. Entryvent processes transactions on your behalf through our payment processor partner Network International (UAE). Entryvent collects ticket sales from Attendees, deducts the EPG processing fee, and pays the net Event proceeds to you in accordance with Section 11.3.

11.3 Payouts

Where you use EPG, Entryvent pays out collected funds to you on a monthly basis. Payouts cover all funds collected during the previous calendar month and are made by the 8th of the following month (or the next business day where the 8th falls on a weekend or public holiday).

For example: funds collected from 1 May to 31 May are paid out on or before 8 June. This means the maximum delay between collection and payout is approximately 5 weeks (for funds collected on the 1st of a month) and the minimum delay is approximately 1 week (for funds collected near the end of a month).

  • Payouts are made by bank transfer to the bank account you have set in your Company Profile
  • Payouts are made in the currency of your configured bank account, regardless of the currency in which Attendees paid. Where Attendees pay in a different currency, any FX conversion costs (including FX margin and foreign currency receipt fees) charged by your bank are your responsibility. Entryvent does not provide currency conversion and does not apply an FX margin

11.4 Chargebacks and disputes

Where an Attendee files a chargeback with their bank or card issuer, the dispute is handled outside Centra by Entryvent’s accounting team in coordination with the payment processor and you.

Notification. Entryvent will notify you of any chargeback or dispute affecting your Events as soon as reasonably practicable after we are notified by the payment processor. Notifications may be sent by email or report. Chargeback information is not surfaced automatically in Centra; registration status, refund status, and other affected fields are updated manually after the dispute is resolved.

Your duty to respond. Payment processors set strict deadlines for responding to chargebacks (typically 7 to 14 days). On receipt of our notification, you must promptly provide any evidence you wish to submit to dispute the chargeback. If you do not respond within the time we communicate, Entryvent will treat the chargeback as accepted.

Financial consequences. The chargeback amount, plus any chargeback fee charged by the payment processor, will be reclaimed from you, either by deduction from future payouts or by direct invoice.

Repeated chargebacks may result in increased processing fees, suspension of EPG, or termination of your Account.

Outcome. Entryvent is not responsible for the outcome of chargeback proceedings. The payment processor and the Attendee’s bank determine the outcome. Entryvent’s role is limited to notifying you when we are notified, passing on your dispute evidence to the processor, and reflecting the outcome in your account once decided.

11.5 Third-party gateways

Where you use a third-party gateway:

  • Funds are collected and held by the third-party gateway under their own terms
  • Entryvent does not process the transaction or hold the funds
  • Payouts, fees, refunds, and chargebacks are handled under the third-party gateway’s terms, not these Terms
  • You may configure a processing fee percentage in Centra to recover the cost of your gateway processing, in accordance with Section 4.5.2; this fee is added to ticket prices at checkout and flows to your gateway
  • Entryvent is not responsible for the third-party gateway’s processing, fees, payouts, or any related matter

11.6 Suspicious or fraudulent transactions

Entryvent and our payment processor partners monitor transactions for fraud and may delay, hold, or reject any transaction we reasonably believe to be fraudulent, suspicious, or in breach of applicable law. We will notify you of any such action and provide reasonable cooperation in resolving the matter.

12. Service availability

12.1 Commercially reasonable efforts

Entryvent will use commercially reasonable efforts to make the Service available 24 hours a day, 7 days a week, except for:

  • Scheduled maintenance, which we will endeavour to perform outside peak event hours and notify in advance where practicable
  • Emergency maintenance for security or stability reasons
  • Outages caused by third-party services we depend on (such as cloud hosting, payment processors, email providers)
  • Force majeure events (Section 17)

12.2 Availability target

Entryvent aims for 99.5% availability of the Service over each calendar month, measured excluding the events listed in Section 12.1. This is an operational target, not a service level agreement, and does not give rise to service credits, remediation rights, or refunds. Where the Service is unavailable for an extended period, your termination rights under Section 9.5 may apply.

12.3 Beta features

Entryvent may offer features marked as “Coming Soon”, “Beta”, or similar. These features are provided as is, with no service commitment, and may be modified or withdrawn at any time without notice. Beta features are excluded from the availability target in Section 12.2.

13. DTCM permits and Dubai Events

13.1 Organiser responsibility

If your Event takes place in the Emirate of Dubai and requires a DTCM permit, you are responsible for complying with all DTCM rules and regulations applicable to your Event. This includes (but is not limited to):

  • Obtaining the DTCM permit, or arranging for a permit holder to obtain it on your behalf
  • Paying all DTCM fees
  • Operating your Event within the terms of the permit (including any allocation limits or other restrictions)
  • Sharing Attendee data with the DTCM permit holder as required for their submission to DTCM
  • Applying for permit amendments through the permit holder where needed
  • Verifying that the DTCM permit code displayed in your Event configuration in Centra matches your actual permit, and notifying Entryvent promptly if there is a mismatch

Centra provides infrastructure for you to manage and sell tickets. Centra does not act as a DTCM regulator and does not monitor or enforce DTCM compliance on your behalf. You bear all consequences of any DTCM non-compliance, including penalties, fines, regulatory action, refunds owed to Attendees, or reputational impact.

DTCM permit assistance and event organisation services are not part of these Terms. Where you require these services, contact Entryvent Event Management at contact@entryvent.com for a separate quote.

13.2 Sharing Attendee data with DTCM

The legal obligation to share Attendee data with DTCM rests with the holder of the DTCM permit for the Event. As the Organiser, you are obliged to share Attendee data with the permit holder so they can fulfil their submission obligations to DTCM.

Centra provides export tools that you can use to extract the Attendee data needed for DTCM submission and transfer it to the permit holder. Entryvent does not submit data to DTCM directly and is not party to the data-sharing arrangement between you and the permit holder.

You are responsible for ensuring that your Attendee privacy notice discloses that Attendee data will be shared with the DTCM permit holder and onward to DTCM, and that Attendees have a lawful basis (such as consent) for this sharing.

14. Third-party services and integrations

14.1 Third-party integrations

The Service integrates with third-party services (including payment processors, email providers, government systems such as DTCM, and other tools you choose to enable). Each third-party service is governed by its own terms and privacy policy. Entryvent is not responsible for the availability, performance, security, or content of third-party services.

14.2 Disabling integrations

If you or the third-party provider disables an integration, related Service features may stop working. Entryvent will use reasonable efforts to notify you of significant integration changes.

14.3 Third-party links

The Service may contain links to third-party websites and resources. Entryvent provides these links for your information only. We do not endorse and are not responsible for the content of linked websites.

15. Limitation of liability

15.1 Excluded damages

To the maximum extent permitted by law, Entryvent will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, goodwill, use, or data, even if Entryvent has been advised of the possibility of such damages.

15.2 Liability cap

Entryvent’s total aggregate liability arising out of or related to the Agreement (whether in contract, tort, or otherwise) will not exceed the total fees paid by you to Entryvent in the 12 months preceding the event giving rise to the claim.

15.3 Carve-outs

The limitations in Sections 15.1 and 15.2 do not apply to:

  • Entryvent’s gross negligence or wilful misconduct
  • Liability that cannot be limited under applicable law
  • Breaches of confidentiality
  • Indemnification obligations under Section 16

15.4 No liability for Events

Entryvent is not liable for the conduct, content, cancellation, postponement, or any other aspect of your Events. As set out in Section 8.2, Entryvent is a platform; you are the seller of the ticket and responsible for the Event.

16. Indemnification

16.1 Your indemnity to Entryvent

You agree to defend, indemnify, and hold harmless Entryvent, our affiliates, officers, directors, employees, and agents from and against any claim, demand, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

  • Your Content
  • Your Events, including cancellation, postponement, conduct, and refunds
  • Your breach of these Terms or any applicable law
  • Your infringement of any third-party right
  • Disputes with your Attendees, sponsors, exhibitors, or other third parties
  • Your failure to comply with consumer protection or data protection law

16.2 Entryvent’s indemnity to you

Entryvent will defend you against any third-party claim alleging that the Service (excluding Your Content and any third-party services or integrations) infringes that third party’s intellectual property rights, and will pay damages finally awarded against you, provided that you:

  • Notify Entryvent promptly of the claim
  • Give Entryvent control of the defence and settlement
  • Provide reasonable cooperation

16.3 Indemnification process

The indemnified party must give prompt written notice of any claim. The indemnifying party has the right to control the defence and settlement, but may not settle on terms that admit liability or impose obligations on the indemnified party without consent.

17. Force majeure

Neither party is liable for failure to perform its obligations (other than payment obligations) where the failure results from events beyond its reasonable control, including acts of God, war, civil unrest, terrorism, pandemic, public health emergency, government action, regulatory change, natural disaster, fire, flood, earthquake, power or telecommunications failure, internet outage, or third-party service failure. The affected party must notify the other party promptly and use reasonable efforts to resume performance. If the force majeure event continues for more than 60 days, either party may terminate the Agreement without liability for the unperformed obligations.

This Section applies to performance of obligations under these Terms (between you and Entryvent). Force majeure affecting your ability to deliver your Event to Attendees is a matter between you and your Attendees, governed by your refund and cancellation policy and applicable consumer protection law.

18. Confidentiality

Each party may disclose to the other information that is confidential and should reasonably be understood as such (“Confidential Information”). Each party agrees to:

  • Use Confidential Information only as necessary to perform the Agreement
  • Protect Confidential Information with at least the same degree of care it uses for its own confidential information, but in no case less than reasonable care
  • Not disclose Confidential Information to third parties except to employees, contractors, and advisors who have a need to know and are bound by confidentiality obligations at least as protective

Confidential Information does not include information that: (a) is or becomes publicly known through no fault of the receiving party; (b) was known to the receiving party before disclosure; (c) is rightfully received from a third party without confidentiality obligation; (d) is independently developed without use of the disclosing party’s Confidential Information.

This Section survives termination of the Agreement for [3] years.

19. Data protection

19.1 Roles

With respect to personal data processed under the Agreement:

  • Organiser data (your Account details, billing information, communications): Entryvent is the data controller.
  • Attendee data (personal data of your Attendees collected through the Service): you are the data controller; Entryvent is the data processor.

19.2 Data Processing Addendum

The DPA, available at entryvent.com/dpa, governs the processing of Attendee data by Entryvent on your behalf. By accepting these Terms, you accept the DPA.

19.3 Compliance with data protection law

Both parties agree to comply with applicable data protection law, including UAE PDPL and, where applicable, the EU General Data Protection Regulation (GDPR) and other equivalent laws.

19.4 Internal access controls

Access to your data within the Service is strictly limited to a small number of authorised Entryvent personnel who require it to operate the Service or to provide support you have requested. All such personnel are bound by confidentiality obligations and an internal access policy that prohibits downloading, copying, exporting, or sharing your data outside the Service, except at your express direction or as required by law. Access is logged. Further detail is set out in our Privacy Policy and DPA.

19.5 Personal data breach

Each party will notify the other promptly upon becoming aware of any personal data breach affecting personal data processed under the Agreement, in accordance with the DPA and applicable law.

19.6 Data roles for external users

Where you invite external users to your Event under Section 3.4, the data role of each is as follows:

  • Onsite staff processing Attendee data on your instructions act as your sub-processor (not Entryvent’s). You are responsible for ensuring an appropriate data processing agreement is in place between you and any onsite staff who are not employees.
  • Exhibitor Managers typically perform three distinct activities on the platform, all as independent controllers of the relevant data: (a) ticket assignment, where the Exhibitor Manager distributes tickets to their own contacts and the resulting registration data becomes visible to them for their own commercial purposes; (b) lead scan configuration, where the Exhibitor Manager defines what questions to capture about leads at their booth; and (c) lead capture, where the Exhibitor Manager scans Attendee badges and collects responses. You are responsible for ensuring that: (i) your Attendee privacy notice discloses each of these data flows clearly; (ii) Attendees have a lawful basis (such as consent) for the sharing of their data with exhibitors through any of these activities; (iii) Exhibitor Managers are aware of and accept their independent controller obligations under applicable data protection law before being granted access.
  • Stakeholders have visibility into aggregate Event information only and do not access Attendee personal data. Because Stakeholder visibility does not involve personal data, no controller/processor data role arises from Stakeholder access.

Entryvent provides the technical infrastructure for external user access but is not party to the data protection arrangements between you and your external users.

20. Modifications to the Agreement

We may update these Terms from time to time.

  • Non-material changes (clarifications, formatting, addition of optional features) take effect on posting, with the “Last updated” date updated.
  • Material changes (changes to pricing, data handling, liability, termination, or your rights) take effect 30 days after notice by email and in-product notification. If you do not accept the changes, you may terminate the Agreement before they take effect, subject to Section 9.5.

Continued use of the Service after the effective date constitutes acceptance of the updated Terms. Previous versions are maintained in our internal archive and are available on written request to support@entryvent.com.

21. Governing law and disputes

21.1 Governing law

The Agreement is governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai, without regard to conflict of law principles.

21.2 Pre-litigation negotiation

Before filing any legal proceeding, the parties will attempt in good faith to resolve any dispute through direct negotiation for a period of at least 30 days from written notice of the dispute.

21.3 Jurisdiction

Any dispute arising out of or relating to the Agreement that is not resolved by negotiation will be submitted to the exclusive jurisdiction of the Courts of Dubai.

21.4 Injunctive relief

Either party may seek injunctive or equitable relief from any court of competent jurisdiction to protect its intellectual property, confidential information, or other rights that cannot adequately be protected by monetary damages.

22. General provisions

22.1 Notices

Notices to Entryvent must be sent to support@entryvent.com or by registered post to the registered office address in Section 1.1. Notices to you will be sent to the email address on your Account.

22.2 Assignment

You may not assign the Agreement or any of your rights or obligations under it without Entryvent’s prior written consent. Entryvent may assign the Agreement to an affiliate or in connection with a merger, acquisition, or sale of assets, with notice to you.

22.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will continue in full effect.

22.4 No waiver

Failure by either party to enforce any provision of the Agreement is not a waiver of that provision or any other provision.

22.5 Entire agreement

The Agreement is the entire agreement between you and Entryvent regarding the Service and supersedes any prior agreements, representations, or understandings.

22.6 Survival

Provisions that by their nature should survive termination, including Sections 6 (Your Content licences and warranties), 7 (Entryvent IP), 14 (Third-party services), 15 (Liability), 16 (Indemnification), 18 (Confidentiality), 19 (Data Protection), 21 (Disputes), and this Section 22, will survive termination.

22.7 Anti-bribery and anti-corruption

Each party agrees to comply with all applicable anti-bribery and anti-corruption laws. Neither party will offer, give, or accept any bribe, kickback, or improper payment in connection with the Agreement.

22.8 Export and sanctions

You will not use the Service in violation of applicable export control or sanctions laws. You confirm you are not subject to any sanctions list maintained by the UAE, the United Nations, the United States, the European Union, or other relevant authority.

22.9 Independent contractors

The parties are independent contractors. Nothing in the Agreement creates a partnership, joint venture, agency, employment, or fiduciary relationship between the parties, except where Entryvent acts as your limited payments agent for EPG transactions.

22.10 Language

These Terms are made in English. [LEGAL: Confirm whether an Arabic version is required for UAE jurisdiction. If both versions are issued, confirm which prevails in case of conflict.]
